The Information Statement is a document prepared by the selling company or the selling company’s counsel before closing that summarizes the principal terms of the transaction and its effects on the security holders. Often times the information statement will include calculations of the consideration payable for each series of stock. However, these amounts are usually estimates as the final amounts are not determined until immediately prior to Closing. Not all transactions have Information Statements.
The Letter of Transmittal (LOT) is a document that you will receive with instructions on how to exchange your securities for the transaction consideration (i.e. the monetary value of your shares). The LOT will be sent by one of the following parties: the selling company, selling company’s counsel, the Paying / Exchange Agent Bank, or the appointed Escrow Agent. We recommend that you send the completed LOT and other required documentation via a courier service (ie. FedEx) for tracking purposes. Once the receiving party processes your properly completed LOT and other necessary documents, they will be able to process your initial merger consideration distribution.
